Install iTunes if necessary -- free on Apple's website -- and open it. Find the "Devices" list and select this iPod touch.
Click the "Restore" button to restore the iPod. This will remove the disabled problem and the password.
Re-sync after the restoration is complete to again put content back on the iPod.
A disabled iPod touch occurs when the incorrect password is entered too many times. This password is optional, and a way to protect your data. Unfortunately, if you've forgotten the password trying to remember it through trial and error can result in an iPod that won't let you do anything. It's possible to restore the iPod touch so it doesn't have the password anymore. However, to maintain the content of the original it must be done through the computer the iPod syncs with.
